Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between uidesigner ("uidesigner", "we", "us", or "our") and the individual or entity registering for, accessing, or using uidesigner services, applications, and websites ("Customer", "you", or "your").

If you register for or use the Services on behalf of a company, organization, or other legal entity, you represent and warrant that you have the requisite authority to bind that entity to these Terms. In that case, "Customer", "you", and "your" refer to that entity.

Account Registration & Credential Security

To access certain features of the Services, you must register for an account. You agree to provide accurate, current, and complete information during registration and to maintain and promptly update your account details.

You are solely responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account or organization. You must immediately notify uidesigner at [email protected] if you suspect any unauthorized access or security breach.

Modifications to Terms

We may update or revise these Terms from time to time to reflect operational changes, product developments, or legal obligations. For material changes, we will provide reasonable advance notice (e.g., via email or an in-product notification) before the changes become effective.

Your continued access or use of the Services following the effective date of updated Terms constitutes your full acceptance of the revised Terms.

Scan Authorization Representation & Warranty

The Services enable users to submit target URLs, domains, and web applications for crawling, headless browser rendering, screenshot capture, DOM inspection, and automated heuristic auditing.

Not a Penetration-Testing Service

uidesigner provides visual collaboration, UI inspection, and automated accessibility, performance, and best-practice heuristic audits. uidesigner is NOT a penetration-testing, vulnerability exploitation, intrusion testing, or security assessment service unless a specific feature explicitly states otherwise.

You may not use uidesigner to probe, test, exploit, or bypass authentication mechanisms, authorization controls, firewalls, or security boundaries of any system.

Prohibited Target Domains & Content

You agree not to submit any target URL, domain, or digital asset that:

• You do not own or have documented authorization to inspect or analyze.
• Contains malware, spyware, phishing payloads, ransomware, or malicious code.
• Contains child sexual abuse material (CSAM) or promotes violent extremism or illegal conduct.
• Involves classified government systems, critical infrastructure, healthcare systems containing protected health information (PHI/HIPAA), or cardholder data environments (PCI-DSS) without appropriate compliance agreements.

Target Impact & Third-Party Liabilities

uidesigner utilizes automated headless browsers and network requests to inspect target web pages. While we implement standard crawl limits, uidesigner is not responsible or liable for any server load, bandwidth consumption, cloud hosting overage fees, security alerting, or operational disruption caused to target domains as a result of your scan requests.

You agree to use the Services in full compliance with all applicable local, national, and international laws, treaties, and regulations. You shall not:

• Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Services, except to the extent permitted by applicable law.
• Circumvent, disable, or tamper with security, rate limiting, quota enforcement, or access controls.
• Use automated bots, scrapers, or scripts to access the Services in a manner that floods or degrades infrastructure availability.
• Resell, sub-license, rent, or lease access to the Services to third parties without prior written consent from uidesigner.

Operational Suspension

We reserve the right to immediately suspend, throttle, or restrict access to any account, organization, or feature where reasonably necessary to protect the Services, our infrastructure, other customers, or third parties, including situations where we reasonably suspect a violation of these Terms, excessive automated abuse, or security compromise.

uidesigner provides automated audit scores, rule-based heuristics (including accessibility, performance, and best practices), and AI-generated insights or code recommendations to assist product teams in reviewing user interfaces.

Not Legal or Compliance Certification

Audit findings do not constitute legal advice, official regulatory certifications, or definitive compliance guarantees (including under WCAG 2.1/2.2, Section 508, ADA, or GDPR). Web accessibility and legal compliance require holistic professional evaluation beyond automated heuristics.

Customer Responsibility for AI Suggestions

AI-generated insights, suggested CSS fixes, and code recommendations are probabilistic outputs and may occasionally be inaccurate, incomplete, or unsuitable for your specific codebase. You are solely responsible for testing, verifying, and validating all suggestions prior to implementing them in staging or production environments.

Definition of Customer Content

"Customer Content" means any digital content submitted to, stored within, or generated within your organization, including text annotations, comment threads, uploaded design mockups, captured screen recordings, inspected target website content, and organization audit outputs.

As between you and uidesigner, you retain all right, title, and interest (including any intellectual property rights) in and to your Customer Content.

Processing According to Customer Instructions

To the extent uidesigner processes Customer Content on your behalf, uidesigner acts as a data processor / service provider. We process Customer Content strictly as necessary to provide, operate, secure, maintain, and support the Services, comply with applicable law, and follow your documented instructions.

uidesigner may engage trusted subprocessors (e.g., cloud hosting, database, media storage, transactional email) to process Customer Content in connection with delivering the Services.

Strict Policy: No General AI Model Training

We respect the confidentiality of your proprietary designs and organization feedback:

Aggregated & De-Identified Telemetry

uidesigner may collect and generate aggregated, de-identified technical metrics and operational telemetry that cannot identify an individual or customer. We use this non-personal telemetry solely to monitor infrastructure health, improve system reliability, detect security anomalies, and benchmark performance.

Warranty Disclaimer

EXCEPT AS EXPRESSLY PROVIDED HEREIN, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE MAXIMUM EXTENT PERMITTED BY LAW, UIDESIGNER DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Exclusion of Consequential Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL UIDESIGNER, ITS AFFILIATES, OFFICERS, DIRECTORS, OR SUBPROCESSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, USE, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH THE SERVICES.

Liability Cap

EXCEPT FOR LIABILITIES THAT CANNOT BE LIMITED UNDER APPLICABLE LAW, UIDESIGNER'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF:

• The total fees paid by you to uidesigner for access to the Services during the twelve (12) months immediately preceding the event giving rise to the claim; or
• One Hundred United States Dollars (USD $100.00).

Customer Indemnification

You agree to defend, indemnify, and hold harmless uidesigner, its affiliates, directors, and employees from and against any third-party claims, liabilities, damages, losses, and reasonable expenses (including attorney fees) arising from: (a) your violation of these Terms; (b) your unauthorized scanning or inspection of third-party domains; or (c) your Customer Content infringing third-party intellectual property or privacy rights.

DMCA & Copyright Takedowns

uidesigner respects the intellectual property rights of others. If you believe that content hosted on our Services infringes your copyright, please send a notice containing the details required by law to our designated legal contact at [email protected].

Governing Law

These Terms and any dispute arising out of or related to them shall be governed by and construed in accordance with applicable statutory law, without giving effect to conflict of laws principles that would cause the application of the laws of any other jurisdiction.
